Karar\u0131n olumlu ve olumsuz y\u00f6nlerini ele almadan \u00f6nce, baz\u0131 \u00f6n a\u00e7\u0131klamalarda bulunulmas\u0131 yararl\u0131 olacakt\u0131r.<\/p>\n<p>T\u00fcrkiye\u2019de in\u015faat sekt\u00f6r\u00fcndeki s\u00f6zle\u015fme uygulamalar\u0131n\u0131n b\u00fcy\u00fck \u00e7o\u011funlu\u011funu arsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri (APK\u0130S) olu\u015fturmas\u0131na ra\u011fmen, bu s\u00f6zle\u015fme t\u00fcr\u00fcne \u00f6zg\u00fc a\u00e7\u0131k ve kapsaml\u0131 bir yasal d\u00fczenlemenin bulunmamas\u0131 dikkat \u00e7ekicidir. Kanaatimizce APK\u0130S, do\u011frudan kanun d\u00fczeyinde bir d\u00fczenlemeye ihtiya\u00e7 duymaktad\u0131r. Bu m\u00fcmk\u00fcn olam\u0131yorsa dahi, en az\u0131ndan uygulamaya rehberlik edecek nitelikte bir y\u00f6netmelik (APK\u0130S uygulama y\u00f6netmeli\u011fi gibi) haz\u0131rlanmas\u0131 gereklidir. Mevcut durumda, s\u00f6z konusu s\u00f6zle\u015fmelere ili\u015fkin sorunlar\u0131n b\u00fcy\u00fck \u00f6l\u00e7\u00fcde yarg\u0131 i\u00e7tihatlar\u0131yla \u00e7\u00f6z\u00fclmeye \u00e7al\u0131\u015f\u0131ld\u0131\u011f\u0131 g\u00f6r\u00fclmektedir. Nitekim bug\u00fcne kadar Yarg\u0131tay Hukuk Genel Kurulu ve \u0130\u00e7tihatlar\u0131 Birle\u015ftirme B\u00fcy\u00fck Genel Kurulu nezdinde APK\u0130S\u2019e dair 400\u2019e yak\u0131n karar verilmi\u015f olmas\u0131na ra\u011fmen, bu i\u00e7tihatlar\u0131n uygulamada ya\u015fanan sorunlara ne \u00f6l\u00e7\u00fcde \u00e7\u00f6z\u00fcm \u00fcretti\u011fi tart\u0131\u015fmaya a\u00e7\u0131kt\u0131r.<\/p>\n<p>\u00dczerinde durulmas\u0131 gereken bir di\u011fer \u00f6nemli husus ise, y\u00fcksek yarg\u0131 mercilerinin dahi hukuki terimlerin kullan\u0131m\u0131nda zaman zaman hataya d\u00fc\u015fmeleridir. Oysa hukuk fak\u00fcltelerinde bir \u00f6\u011frencinin s\u0131navda temel bir hukuki terimi yanl\u0131\u015f kullanmas\u0131, \u2018fahi\u015f hata\u2019 kapsam\u0131nda de\u011ferlendirilerek cevab\u0131n, hatta kimi zaman s\u0131nav k\u00e2\u011f\u0131d\u0131n\u0131n t\u00fcm\u00fcn\u00fcn ge\u00e7ersiz say\u0131lmas\u0131yla sonu\u00e7lanmaktad\u0131r. Bu durumda, y\u00fcksek yarg\u0131 kararlar\u0131nda temel hukuk kavramlar\u0131n\u0131n yanl\u0131\u015f kullan\u0131m\u0131n\u0131n s\u00fcreklilik kazanmas\u0131 ve bu durumun adeta ola\u011fan bir uygulama h\u00e2line gelmesi kayg\u0131 vericidir. \u00d6zellikle &#8216;kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi&#8217;, &#8216;ayni etkili d\u00f6nme, \u2018avans tapu&#8217; ve &#8216;geriye etkili fesih&#8217; gibi hatal\u0131 kavramlar\u0131n yarg\u0131 merciilerince kullan\u0131lmas\u0131, yaln\u0131zca terminolojik bir sorun de\u011fil, ayn\u0131 zamanda uygulamada ciddi sonu\u00e7lar do\u011furabilecek yap\u0131sal bir meseledir. Bu ba\u011flamda, hukuki terminolojinin do\u011fru ve tutarl\u0131 bi\u00e7imde kullan\u0131m\u0131, hem teorik hem de uygulamaya y\u00f6nelik bir \u00f6ncelik olarak ele al\u0131nmal\u0131d\u0131r.\u2026 \u015eimdi g\u00fcncel \u0130BK\u2019ya gelecek olursak;<\/p>\n<p>Yarg\u0131tay\u2019\u0131n yerle\u015fik avans tapu i\u00e7tihad\u0131na g\u00f6re Yarg\u0131tay; arsa sahibinin arsa paylar\u0131n\u0131 ba\u015flang\u0131\u00e7ta y\u00fckleniciye devretmi\u015f oldu\u011fu ve y\u00fcklenicinin kendisine devredilmi\u015f olan bu arsa pay\u0131n\u0131n m\u00fclkiyetini \u00fc\u00e7\u00fcnc\u00fc ki\u015fiye devretti\u011fi durumlarda dahi, arsa sahibinin s\u00f6zle\u015fmeden d\u00f6nmesi \u00fczerine, y\u00fckleniciden arsa pay\u0131n\u0131 tapuda devralan \u00fc\u00e7\u00fcnc\u00fc (ve hatta bunlardan devralan sonraki) ki\u015filere kar\u015f\u0131 arsa sahibinin tapu kayd\u0131n\u0131n d\u00fczeltilmesi davas\u0131 a\u00e7abilece\u011fini, bu durumda iyi niyet iddias\u0131nda bulunamayacak olan \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin TMK. m.1023 h\u00fckm\u00fcnden yararlanamayaca\u011f\u0131n\u0131 kabul etmekteydi.<\/p>\n<p>Bu hususta Yarg\u0131tay uygulamas\u0131n\u0131n m\u00fclkiyet hakk\u0131n\u0131n ihlali anlam\u0131na geldi\u011fi y\u00f6n\u00fcnde Anayasa Mahkemesi\u2019ne bir\u00e7ok bireysel ba\u015fvuru yap\u0131lm\u0131\u015ft\u0131 ve AYM ret karar\u0131 vermi\u015fti[1]. Nihayet Yarg\u0131tay, verdi\u011fi \u0130\u00e7tihad\u0131 Birle\u015ftirme Karar\u0131 ile bu uygulamadan d\u00f6nd\u00fc.<\/p>\n<p>Yarg\u0131tay \u0130\u00e7tihatlar\u0131 Birle\u015ftirme B\u00fcy\u00fck Genel Kurulu 2024\/1 E. 2025\/2 K. 16.05.2025 say\u0131l\u0131 karar metninden \u00f6zetle; \u201cArsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesine konu ta\u015f\u0131nmaz\u0131n, tapuda y\u00fckleniciye devredilmesinden sonra y\u00fcklenicinin arsa pay\u0131 veya ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri \u00fc\u00e7\u00fcnc\u00fc ki\u015filere satmas\u0131 veya ipotek tesis etmesi \u00fczerine, s\u00f6zle\u015fmenin ge\u00e7ersizli\u011finin tespiti veya geriye etkili olarak feshedilmesi h\u00e2linde, \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin tapuya g\u00fcvenerek ve iyiniyetli olarak ayni hak edindikleri iddialar\u0131n\u0131n dinlenmesi, dolay\u0131s\u0131yla iktisap edilen m\u00fclkiyet veya ipotek hakk\u0131n\u0131n korunmas\u0131 gerekti\u011fine, ancak somut olaya g\u00f6re \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin iyiniyetli olmad\u0131klar\u0131n\u0131n anla\u015f\u0131lmas\u0131 halinde ta\u015f\u0131nmazlar arsa sahibine d\u00f6nebilece\u011fine\u201d \u015feklindedir.<\/p>\n<p>Bu karardan sonra y\u00fcklenici ve tapuyu sonradan devralan iyi niyetli \u00fc\u00e7\u00fcnc\u00fc ki\u015filer lehine kararlar \u00e7\u0131kacak, \u00fc\u00e7\u00fcnc\u00fc ki\u015filer bak\u0131m\u0131ndan hakkaniyet sa\u011flanacakt\u0131r. \u00dc\u00e7\u00fcnc\u00fc ki\u015filerin k\u00f6t\u00fc niyetli oldu\u011fu iddias\u0131n\u0131n ispat y\u00fck\u00fc ise arsa sahibine ait olacakt\u0131r. Yani y\u00fckleniciye devredilen ta\u015f\u0131nmaz\u0131n \u00fc\u00e7\u00fcnc\u00fc ki\u015fiye sat\u0131lmas\u0131 h\u00e2linde, s\u00f6zle\u015fmenin ge\u00e7ersizli\u011fi durumunda iyiniyetli \u00fc\u00e7\u00fcnc\u00fc ki\u015finin kazan\u0131m\u0131 art\u0131k kategorik olarak reddedilmeyecek, somut olay ve deliller \u00e7er\u00e7evesinde de\u011ferlendirilecektir. Ayr\u0131ca bu karar (\u0130BK), yaln\u0131zca bundan sonraki uyu\u015fmazl\u0131klarda de\u011fil, hali haz\u0131rda mahkemelerde, BAM ya da Yarg\u0131tay nezdinde g\u00f6r\u00fclmekte olan ve \u00f6nceki tarihli s\u00f6zle\u015fmelere dayanan davalar\u0131 da do\u011frudan etkileyecektir. Zira \u0130BK\u2019lar; konusuyla s\u0131n\u0131rl\u0131, gerek\u00e7esiyle a\u00e7\u0131klay\u0131c\u0131, sonucu ile ba\u011flay\u0131c\u0131d\u0131r\u2026.<\/p>\n<p>Karar, m\u00fclkiyet hakk\u0131 ile s\u00f6zle\u015fmesel denetim aras\u0131ndaki dengenin yeniden tan\u0131mland\u0131\u011f\u0131n\u0131 g\u00f6steriyor. Karar\u0131 hukuk tekni\u011fi bak\u0131m\u0131ndan do\u011fru buldu\u011fumu belirtmek isterim. Zira TMK 1020,1023 a\u00e7\u0131kt\u0131r, iyi niyetli 3. ki\u015filerin tapu siciline g\u00fcveni korunmal\u0131d\u0131r ancak bu karar\u0131n getirece\u011fi bir \u00e7ok sorunda mevcuttur. \u015e\u00f6yle ki; m\u00fcteahhidin kendisine s\u00f6zle\u015fme ile taahh\u00fct edilen t\u00fcm ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri \u00fc\u00e7\u00fcnc\u00fc ki\u015filere satm\u0131\u015f olmas\u0131 ve buna kar\u015f\u0131l\u0131k in\u015faat\u0131 d\u00fc\u015f\u00fck oranda tamamlam\u0131\u015f olmas\u0131 gibi durumlarda arsa sahibinin hukuki konumu ciddi bi\u00e7imde zay\u0131flayacakt\u0131r. Dolay\u0131s\u0131yla hen\u00fcz in\u015faat tamamlanmam\u0131\u015f olsa dahi, sat\u0131\u015flar\u0131n ge\u00e7erli say\u0131lmas\u0131 ve arsa sahibinin m\u00fclkiyet hakk\u0131n\u0131n tamamen ortadan kalkmas\u0131 sonucu ortaya \u00e7\u0131kacakt\u0131r.<\/p>\n<p>Peki ne yap\u0131labilir? Arsa sahipleri, \u00f6zellikle in\u015faat\u0131n tamamlanma seviyesi g\u00f6zetilmeksizin m\u00fcteahhide toplu \u015fekilde arsa pay\u0131 devri yap\u0131lan s\u00f6zle\u015fme modellerini tercih etmemelidir.  Arsa paylar\u0131n\u0131n hen\u00fcz in\u015faat ba\u015flamadan veya \u00e7ok erken a\u015famalarda m\u00fcteahhide devredilmesi \u015feklinde uygulanan ve kamuoyunda \u201c\u0130stanbul modeli\u201d olarak bilinen y\u00f6ntemden ka\u00e7\u0131n\u0131lmal\u0131d\u0131r. Bunun yerine, in\u015faat\u0131n ilerleme d\u00fczeyine g\u00f6re arsa pay\u0131 devrini \u00f6ng\u00f6ren \u201chak edi\u015f esasl\u0131\u201d sistemler di\u011fer bir ifadeyle \u201cAnkara modeli\u201d tercih edilmelidir. Ancak bu y\u00f6ntemde de devrin m\u00fcmk\u00fcn oldu\u011funca ileri a\u015famalara, ideal olarak kaba in\u015faat\u0131n \u00f6nemli \u00f6l\u00e7\u00fcde (\u00f6rne\u011fin %70 oran\u0131nda) tamamland\u0131\u011f\u0131 bir noktaya ertelenmesi, arsa sahiplerinin olas\u0131 ma\u011fduriyetlerinin \u00f6nlenmesi bak\u0131m\u0131ndan b\u00fcy\u00fck \u00f6nem ta\u015f\u0131maktad\u0131r.<\/p>\n<p>Bu noktada, s\u00f6z konusu \u0130\u00e7tihad\u0131 Birle\u015ftirme Karar\u0131 ile birlikte, arsa sahiplerinin APK\u0130S\u2019i bilin\u00e7li bir \u015fekilde ve hukuki \u00f6ng\u00f6r\u00fcyle imzalamas\u0131 her zamankinden daha kritik hale geldi\u011fini s\u00f6ylemek gerekir. Zira, s\u00f6zle\u015fme \u00f6ncesi risk y\u00f6netimi ve do\u011fru bir hukuki dan\u0131\u015fmanl\u0131k almak art\u0131k l\u00fcks de\u011fil, zaruri bir hal alm\u0131\u015ft\u0131r. Nihayet Yarg\u0131tay, verdi\u011fi \u0130\u00e7tihad\u0131 Birle\u015ftirme Karar\u0131 ile bu uygulamadan d\u00f6nd\u00fc.<\/p>\n<p>Yarg\u0131tay \u0130\u00e7tihatlar\u0131 Birle\u015ftirme B\u00fcy\u00fck Genel Kurulu 2024\/1 E. 2025\/2 K. 16.05.2025 say\u0131l\u0131 karar metninden \u00f6zetle; \u201cArsa pay\u0131 kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesine konu ta\u015f\u0131nmaz\u0131n, tapuda y\u00fckleniciye devredilmesinden sonra y\u00fcklenicinin arsa pay\u0131 veya ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri \u00fc\u00e7\u00fcnc\u00fc ki\u015filere satmas\u0131 veya ipotek tesis etmesi \u00fczerine, s\u00f6zle\u015fmenin ge\u00e7ersizli\u011finin tespiti veya geriye etkili olarak feshedilmesi h\u00e2linde, \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin tapuya g\u00fcvenerek ve iyiniyetli olarak ayni hak edindikleri iddialar\u0131n\u0131n dinlenmesi, dolay\u0131s\u0131yla iktisap edilen m\u00fclkiyet veya ipotek hakk\u0131n\u0131n korunmas\u0131 gerekti\u011fine, ancak somut olaya g\u00f6re \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin iyiniyetli olmad\u0131klar\u0131n\u0131n anla\u015f\u0131lmas\u0131 halinde ta\u015f\u0131nmazlar arsa sahibine d\u00f6nebilece\u011fine\u201d \u015feklindedir.<\/p>\n<p>Bu karardan sonra y\u00fcklenici ve tapuyu sonradan devralan iyi niyetli \u00fc\u00e7\u00fcnc\u00fc ki\u015filer lehine kararlar \u00e7\u0131kacak, \u00fc\u00e7\u00fcnc\u00fc ki\u015filer bak\u0131m\u0131ndan hakkaniyet sa\u011flanacakt\u0131r. \u00dc\u00e7\u00fcnc\u00fc ki\u015filerin k\u00f6t\u00fc niyetli oldu\u011fu iddias\u0131n\u0131n ispat y\u00fck\u00fc ise arsa sahibine ait olacakt\u0131r. Yani y\u00fckleniciye devredilen ta\u015f\u0131nmaz\u0131n \u00fc\u00e7\u00fcnc\u00fc ki\u015fiye sat\u0131lmas\u0131 h\u00e2linde, s\u00f6zle\u015fmenin ge\u00e7ersizli\u011fi durumunda iyiniyetli \u00fc\u00e7\u00fcnc\u00fc ki\u015finin kazan\u0131m\u0131 art\u0131k kategorik olarak reddedilmeyecek, somut olay ve deliller \u00e7er\u00e7evesinde de\u011ferlendirilecektir. Ayr\u0131ca bu karar (\u0130BK), yaln\u0131zca bundan sonraki uyu\u015fmazl\u0131klarda de\u011fil, hali haz\u0131rda mahkemelerde, BAM ya da Yarg\u0131tay nezdinde g\u00f6r\u00fclmekte olan ve \u00f6nceki tarihli s\u00f6zle\u015fmelere dayanan davalar\u0131 da do\u011frudan etkileyecektir. Zira TMK 1020,1023 a\u00e7\u0131kt\u0131r, iyi niyetli 3. ki\u015filerin tapu siciline g\u00fcveni korunmal\u0131d\u0131r ancak bu karar\u0131n getirece\u011fi bir \u00e7ok sorunda mevcuttur. \u015e\u00f6yle ki; m\u00fcteahhidin kendisine s\u00f6zle\u015fme ile taahh\u00fct edilen t\u00fcm ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri \u00fc\u00e7\u00fcnc\u00fc ki\u015filere satm\u0131\u015f olmas\u0131 ve buna kar\u015f\u0131l\u0131k in\u015faat\u0131 d\u00fc\u015f\u00fck oranda tamamlam\u0131\u015f olmas\u0131 gibi durumlarda arsa sahibinin hukuki konumu ciddi bi\u00e7imde zay\u0131flayacakt\u0131r. Dolay\u0131s\u0131yla hen\u00fcz in\u015faat tamamlanmam\u0131\u015f olsa dahi, sat\u0131\u015flar\u0131n ge\u00e7erli say\u0131lmas\u0131 ve arsa sahibinin m\u00fclkiyet hakk\u0131n\u0131n tamamen ortadan kalkmas\u0131 sonucu ortaya \u00e7\u0131kacakt\u0131r.<\/p>\n<p>Peki ne yap\u0131labilir? Arsa sahipleri, \u00f6zellikle in\u015faat\u0131n tamamlanma seviyesi g\u00f6zetilmeksizin m\u00fcteahhide toplu \u015fekilde arsa pay\u0131 devri yap\u0131lan s\u00f6zle\u015fme modellerini tercih etmemelidir.  Arsa paylar\u0131n\u0131n hen\u00fcz in\u015faat ba\u015flamadan veya \u00e7ok erken a\u015famalarda m\u00fcteahhide devredilmesi \u015feklinde uygulanan ve kamuoyunda \u201c\u0130stanbul modeli\u201d olarak bilinen y\u00f6ntemden ka\u00e7\u0131n\u0131lmal\u0131d\u0131r.
