T\u00fcrk Paras\u0131 K\u0131ymetini Koruma Hakk\u0131nda 32 say\u0131l\u0131 Karar\u2019a dayan\u0131larak \u00e7\u0131kar\u0131lan d\u00fczenlemelerle birlikte, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin kendi aralar\u0131nda d\u00f6vizle veya d\u00f6vize endeksli kira s\u00f6zle\u015fmeleri yapmalar\u0131 s\u0131n\u0131rlanm\u0131\u015f ve istisnalar d\u0131\u015f\u0131ndaki s\u00f6zle\u015fmelerin T\u00fcrk Liras\u0131&#8217;na \u00e7evrilmesi zorunlu hale getirilmi\u015ftir.<\/p>\n<p>Bu yaz\u0131m\u0131zda, emredici h\u00fck\u00fcmlerin etkisiyle d\u00f6vizli s\u00f6zle\u015fmelerin ge\u00e7erlilik durumu, TL\u2019ye d\u00f6n\u00fc\u015f\u00fcn nas\u0131l ger\u00e7ekle\u015ftirilece\u011fi ve bu s\u00fcre\u00e7te ortaya \u00e7\u0131kan uyu\u015fmazl\u0131klar\u0131n hesaplama y\u00f6ntemleri ile birlikte yarg\u0131 i\u00e7tihatlar\u0131 do\u011frultusunda nas\u0131l \u00e7\u00f6z\u00fcmlendi\u011fi a\u00e7\u0131klanmaktad\u0131r.<\/p>\n<p>2. 2018 D\u00dcZENLEMELER\u0130N\u0130N MEVZUAT TEMEL\u0130<\/p>\n<p>13 Eyl\u00fcl 2018 tarihli Resm\u00ee Gazete\u2019de yay\u0131mlanan 85 say\u0131l\u0131 Cumhurba\u015fkanl\u0131\u011f\u0131 Karar\u0131 ile T\u00fcrk Paras\u0131 K\u0131ymetini Koruma Hakk\u0131nda 32 say\u0131l\u0131 Karar\u2019a ge\u00e7ici 8. madde eklenmi\u015ftir. Bu maddeye g\u00f6re, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin kendi aralar\u0131nda akdettikleri baz\u0131 s\u00f6zle\u015fmelerin bedellerinin d\u00f6viz cinsinden veya d\u00f6vize endeksli olarak belirlenmi\u015f olmas\u0131 halinde taraflarca T\u00fcrk Liras\u0131 olarak yeniden belirlenece\u011fi d\u00fczenlenmi\u015ftir.<\/p>\n<p>S\u00f6z konusu yasaklaman\u0131n kapsam\u0131, Hazine ve Maliye Bakanl\u0131\u011f\u0131 taraf\u0131ndan \u00e7\u0131kar\u0131lan 2008-32\/34 say\u0131l\u0131 Tebli\u011f ile a\u00e7\u0131klanm\u0131\u015ft\u0131r. Tebli\u011f\u2019in 27. maddesine g\u00f6re:<\/p>\n<p>\u201cS\u00f6zle\u015fme bedeli ve bu s\u00f6zle\u015fmelerden kaynaklanan di\u011fer \u00f6deme y\u00fck\u00fcml\u00fcl\u00fckleri d\u00f6viz cinsinden veya d\u00f6vize endeksli olarak kararla\u015ft\u0131r\u0131lmas\u0131 m\u00fcmk\u00fcn olmayan s\u00f6zle\u015fmelerde yer alan bedellerin, taraflar aras\u0131nda T\u00fcrk paras\u0131 olarak yeniden belirlenmesi zorunludur.\u201d<\/p>\n<p>Tebli\u011f\u2019in 28. maddesi ise taraflar aras\u0131nda TL \u00fczerinden mutabakat sa\u011flanamamas\u0131 h\u00e2linde uygulanacak hesaplama y\u00f6ntemini d\u00fczenlemektedir. Bu y\u00f6nteme g\u00f6re:<\/p>\n<p>-Bedel, 02.01.2018 tarihli TCMB efektif sat\u0131\u015f kuru esas al\u0131narak TL\u2019ye \u00e7evrilir.<br \/>\n-Ard\u0131ndan, bu TL bedel T\u00dcFE oranlar\u0131 ile g\u00fcncellenir.<\/p>\n<p>3. EMRED\u0130C\u0130 H\u00dcK\u00dcMLER\u0130N SONUCU:<\/p>\n<p>TBK m. 26 \u201cTaraflar bir s\u00f6zle\u015fmenin i\u00e7eri\u011fini kanunda \u00f6ng\u00f6r\u00fclen s\u0131n\u0131rlar i\u00e7inde \u00f6zg\u00fcrce belirleyebilirler.\u201d h\u00fckm\u00fc \u00e7er\u00e7evesinde s\u00f6zle\u015fme serbestisi d\u00fczenlenmi\u015ftir. TBK m. 27\/1\u2019de ise kesin h\u00fck\u00fcms\u00fczl\u00fck ba\u015fl\u0131\u011f\u0131 alt\u0131nda \u201cKanunun emredici h\u00fck\u00fcmlerine, ahlaka, kamu d\u00fczenine, ki\u015filik haklar\u0131na ayk\u0131r\u0131 veya konusu imk\u00e2ns\u0131z olan s\u00f6zle\u015fmeler kesin olarak h\u00fck\u00fcms\u00fczd\u00fcr\u201d d\u00fczenlemesi gere\u011fince s\u00f6zle\u015fme \u00f6zg\u00fcrl\u00fc\u011f\u00fcn\u00fcn hangi ko\u015fullarda k\u0131s\u0131tlanaca\u011f\u0131 d\u00fczenlenmi\u015ftir.<\/p>\n<p>T\u00fcrk paras\u0131n\u0131n k\u0131ymetinin korunmas\u0131 amac\u0131yla y\u00fcr\u00fcrl\u00fc\u011fe konulan mevzuatta 2018 y\u0131l\u0131nda yap\u0131lan de\u011fi\u015fiklik ile d\u00f6viz cinsinden ve d\u00f6vize endeksli kira s\u00f6zle\u015fmesi yapma \u00f6zg\u00fcrl\u00fc\u011f\u00fc k\u0131s\u0131tlanm\u0131\u015f ve ekonomik kamu d\u00fczeninin korunmas\u0131 ama\u00e7lanm\u0131\u015f olup bu durumda d\u00f6viz ve \u00a0d\u00f6vize endeksli olarak yap\u0131lacak kira s\u00f6zle\u015fmeleri kanunun emredici h\u00fck\u00fcmlerine ayk\u0131r\u0131l\u0131k te\u015fkil etti\u011finden s\u00f6zle\u015fmede kiran\u0131n d\u00f6vizle veya d\u00f6vize endeksli olarak belirlenen ilgili \u00a0k\u0131sm\u0131n\u0131n k\u0131smi h\u00fck\u00fcms\u00fcz olmas\u0131 s\u00f6z konusu olacak, s\u00f6zle\u015fmenin d\u00fczenlemeye ayk\u0131r\u0131 olmayan k\u0131s\u0131mlar\u0131 ge\u00e7erlili\u011fini koruyacakt\u0131r. Temel olarak d\u00f6viz ve d\u00f6vize endeksli olarak kira belirlenmi\u015fse s\u00f6z konusu maddeler emredici h\u00fck\u00fcmlere ayk\u0131r\u0131 oldu\u011fu gerek\u00e7esiyle ge\u00e7ersiz say\u0131lacakt\u0131r.<\/p>\n<p>Yasan\u0131n y\u00fcr\u00fcrl\u00fc\u011fe girmesinden \u00f6nce yap\u0131lm\u0131\u015f olan d\u00f6vize endeksli s\u00f6zle\u015fmelerde ise s\u00f6zle\u015fme ge\u00e7erlili\u011fini koruyacakt\u0131r. Yasa tarihine kadar taraflar\u0131n s\u00f6zle\u015fmedeki kar\u015f\u0131l\u0131kl\u0131 edimleri s\u00f6zle\u015fme ko\u015fullar\u0131na g\u00f6re devam edecektir. Y\u00fck\u00fcml\u00fcl\u00fckleri aynen s\u00f6zle\u015fmedeki gibi ifa edilecektir. 2018 tarihinden sonra ise s\u00f6zle\u015fme yine ge\u00e7erlili\u011fini koruyacak fakat sadece \u00f6demelerin d\u00f6vize ili\u015fkin ya da d\u00f6vize endeksli \u00f6deme \u015fekli TL\u2019ye uyarlanacakt\u0131r. Bu madde y\u00f6n\u00fcyle taraflar a\u00e7\u0131s\u0131ndan y\u00fck\u00fcml\u00fcl\u00fck ortadan kalkacak ve sorumluluk devam etmeyecektir. T\u00fcrk Paras\u0131 K\u0131ymetini Koruma Hakk\u0131nda 32 Say\u0131l\u0131 Karar\u2019\u0131n ge\u00e7ici 8. maddesinde, s\u00f6zle\u015fmenin d\u00f6vizle ilgili maddelerinin nas\u0131l uyarlanaca\u011f\u0131 d\u00fczenlenmi\u015ftir.. Bu h\u00fckme g\u00f6re \u201cBu Karar\u0131n 4 \u00fcnc\u00fc maddesinin (g) bendinin y\u00fcr\u00fcrl\u00fc\u011fe girdi\u011fi tarihten itibaren otuz g\u00fcn i\u00e7inde, s\u00f6z konusu bentte belirtilen ve daha \u00f6nce akdedilmi\u015f y\u00fcr\u00fcrl\u00fckteki s\u00f6zle\u015fmelerdeki d\u00f6viz cinsinden kararla\u015ft\u0131r\u0131lm\u0131\u015f bulunan bedeller, Bakanl\u0131k\u00e7a belirlenen haller d\u0131\u015f\u0131nda; T\u00fcrk paras\u0131 olarak taraflarca yeniden belirlenir.\u201d Otuz g\u00fcn i\u00e7inde d\u00f6vizli ve d\u00f6vize endeksli kira s\u00f6zle\u015fmelerinin taraflarca TL\u2019ye uyarlanmas\u0131 gerekti\u011fi belirtilmi\u015ftir.<\/p>\n<p>Taraflar\u0131n 2018\u2019deki d\u00fczenleme sonras\u0131nda d\u00f6viz \u00fczerinden kira \u00f6demesini devam ettirmeleri sonradan y\u00fcr\u00fcrl\u00fc\u011fe giren d\u00fczenlemeler uyar\u0131nca TL \u00fczerinde \u00f6deme yapmalar\u0131 zorunlu olaca\u011f\u0131ndan, \u00f6demelerin d\u00f6viz cinsinden yap\u0131lm\u0131\u015f olmas\u0131 d\u00f6viz ile kira \u00f6deme devaml\u0131l\u0131\u011f\u0131na z\u0131mmi r\u0131za g\u00f6stermi\u015f olduklar\u0131 sonucunu do\u011furmayacakt\u0131r.<\/p>\n<p>\u00d6nceden yap\u0131lan \u00f6demeler, 2018 tarihli T\u00fcrkiye Cumhuriyeti Merkez Bankas\u0131 efektif sat\u0131\u015f kuru ile TL\u2019ye \u00e7evrilecek. Hesaplama, o tarihten itibaren yap\u0131lacak ve TL\u2019ye \u00e7evrilen bedel, T\u00dcFE oran\u0131 ile art\u0131r\u0131larak g\u00fcncel bedel tespit edilecektir.<\/p>\n<p>Kira bedelinin \u00f6denmemesine ili\u015fkin talepten \u00f6deme ihtilaf\u0131n\u0131n \u00e7\u0131kt\u0131\u011f\u0131 tarihe kadar geriye d\u00f6n\u00fck d\u00f6viz baz\u0131nda yap\u0131lan \u00f6demeler TL\u2019ye \u00e7evrilir, hesaplama 2018 tarihinde d\u00f6viz cinsinden olan bedelin TL\u2019ye \u00e7evrilip y\u0131ll\u0131k t\u00fcfe oran\u0131 \u00fczerinden art\u0131\u015fla yap\u0131l\u0131p son talep edilen tarihteki kira oran\u0131yla kar\u015f\u0131la\u015ft\u0131r\u0131l\u0131r. TL\u2019ye \u00e7evrildi\u011fi 2018\u2019den ihtilaf\u0131n \u00e7\u0131kt\u0131\u011f\u0131 tarihe kadarki d\u00f6nemde \u00f6deme fazla yap\u0131lm\u0131\u015fsa bu fazla yap\u0131lan \u00f6deme mahsup edilerek kalan k\u0131s\u0131m hesaplan\u0131r.<\/p>\n<p>4. TARAFLAR ARASI MUTABAKAT YOKSA HESAPLAMA NASIL YAPILIR?<\/p>\n<p>Taraflar\u0131n TL&#8217;ye d\u00f6n\u00fc\u015f konusunda a\u00e7\u0131k bir mutabakata varmamas\u0131 h\u00e2linde s\u00f6zle\u015fmenin ilgili k\u0131sm\u0131 ge\u00e7erli say\u0131lmaz. Bu durumda, mahkemece re\u2019sen bir hesaplama yap\u0131l\u0131r. S\u00f6z konusu hesaplama y\u00f6ntemi \u015fu \u015fekildedir:<\/p>\n<p>1. S\u00f6zle\u015fmede yer alan d\u00f6viz tutar\u0131, 02.01.2018 tarihli TCMB efektif sat\u0131\u015f kuru ile TL\u2019ye \u00e7evrilir.<br \/>\n2. Bu TL bedel, T\u00dc\u0130K taraf\u0131ndan yay\u0131mlanan ayl\u0131k T\u00dcFE oranlar\u0131 ile art\u0131r\u0131larak g\u00fcncellenir.<br \/>\n3. Elde edilen de\u011fer, taraflar aras\u0131nda o d\u00f6nem i\u00e7in uygulanmas\u0131 gereken yasal kira bedeli kabul edilir.<\/p>\n<p>5. F\u0130\u0130L\u0130 \u00d6DEMELER VE S\u00d6ZLE\u015eMEN\u0130N GE\u00c7ERL\u0130L\u0130K KAZANIP KAZANMADI\u011eI<\/p>\n<p>Yarg\u0131tay 12. HD&#8217;nin karar\u0131na g\u00f6re:<\/p>\n<p>\u201cTaraflarca kira s\u00f6zle\u015fmesinin TL\u2019ye \u00e7evrilmesine ili\u015fkin a\u00e7\u0131k bir mutabakat sa\u011flanmam\u0131\u015fsa, akdedilen s\u00f6zle\u015fmelerde d\u00f6viz veya d\u00f6vize endeksli olarak belirlenen bedeller, s\u00f6z konusu bedellerin 2\/1\/2018 tarihinde belirlenen g\u00f6sterge niteli\u011findeki T\u00fcrkiye Cumhuriyet Merkez Bankas\u0131 efektif sat\u0131\u015f kuru kullan\u0131larak hesaplanan T\u00fcrk paras\u0131 cinsinden kar\u015f\u0131l\u0131\u011f\u0131n\u0131n 2\/1\/2018 tarihinden bedellerin yeniden belirlendi\u011fi tarihe kadar T\u00fcrkiye \u0130statistik Kurumunun her ay i\u00e7in belirledi\u011fi t\u00fcketici fiyat endeksi (T\u00dcFE) ayl\u0131k de\u011fi\u015fim oranlar\u0131 esas al\u0131narak art\u0131r\u0131lmas\u0131 suretiyle belirlenir.\u201d [Yarg\u0131tay 12. HD, 2022\/6469 E., 2022\/9954 K.] \u0130\u015f bu karara ve yasal d\u00fczenlemelere g\u00f6re aralar\u0131nda d\u00f6viz cinsinden veya d\u00f6vize endeksli olarak kira s\u00f6zle\u015fmesi yapmalar\u0131 yasak olan ki\u015filerin 2018 tarihinden \u00f6nce d\u00f6viz cinsinden imzalad\u0131klar\u0131 s\u00f6zle\u015fmeler tamamen ge\u00e7ersiz say\u0131lmayacak, 02.01.2018 \u00a0tarihindeki T\u00fcrkiye Cumhuriyeti Merkez Bankas\u0131 efektif sat\u0131\u015f kuru \u00fczerinden TL\u2019ye \u00e7evrilerek kira bedeli belirlenecek ve s\u00f6zle\u015fme ayakta tutulacakt\u0131r.<\/p>\n<p>6. \u0130STANBUL BAM 59. HUKUK DA\u0130RES\u0130\u2019N\u0130N 2024\/3240 E., 2025\/1519 K. SAYILI KARARININ DE\u011eERLEND\u0130R\u0130LMES\u0130<\/p>\n<p>\u0130stanbul BAM 59. Hukuk Dairesi, 21.03.2025 tarihli karar\u0131nda (2024\/3240 E., 2025\/1519 K.), 2017 y\u0131l\u0131nda yap\u0131lm\u0131\u015f olan ve d\u00f6vizle kararla\u015ft\u0131r\u0131lan bir kira s\u00f6zle\u015fmesinde do\u011fan ihtilafta \u0130stanbul 18. \u0130cra Hukuk Mahkemesi 2022\/858 E., 2023\/447 K. Say\u0131l\u0131 \u0130tiraz\u0131n Kald\u0131r\u0131lmas\u0131 ve Tahliye davas\u0131nda verilen h\u00fckm\u00fc kald\u0131r\u0131p davan\u0131n reddine karar vermi\u015ftir. \u0130stanbul B\u00f6lge Adliye Mahkemesi Yarg\u0131tay 12. Hukuk Dairesinin karar\u0131 \u00e7er\u00e7evesinde \u015fu de\u011ferlendirmeleri yapm\u0131\u015ft\u0131r:<\/p>\n<p>&#8211; Taraflar\u0131n 2018 sonras\u0131 T\u00fcrk Paras\u0131 K\u0131ymetini Koruma mevzuat\u0131 uyar\u0131nca, d\u00f6vizle belirlenmi\u015f s\u00f6zle\u015fme bedellerini TL\u2019ye \u00e7evirme konusunda yaz\u0131l\u0131 ve a\u00e7\u0131k bir mutabakatlar\u0131n\u0131n bulunmad\u0131\u011f\u0131 g\u00f6r\u00fclm\u00fc\u015ft\u00fcr.<br \/>\n&#8211; Davac\u0131 taraf\u0131n, d\u00f6vizle yap\u0131lm\u0131\u015f kira \u00f6demeleri ve faturaland\u0131rmay\u0131 esas alarak takip ba\u015flatm\u0131\u015f olmas\u0131 yeterli g\u00f6r\u00fclmemi\u015ftir. Mahkeme bu takibin ge\u00e7ersiz oldu\u011funa h\u00fckmetmi\u015ftir.<br \/>\n&#8211; TL\u2019ye d\u00f6n\u00fc\u015f yap\u0131lmadan devam eden s\u00f6zle\u015fmenin, borcun belirlenmesinde belirsizlik do\u011furdu\u011fu, s\u00f6zle\u015fmenin d\u00f6viz ile ilgili k\u0131s\u0131mlar\u0131n uygulanabilirli\u011fini ortadan kald\u0131rd\u0131\u011f\u0131 ifade edilmi\u015ftir.<br \/>\n&#8211; Mahkeme, alaca\u011f\u0131n d\u00f6viz cinsinden takibinin, emredici h\u00fck\u00fcmlere ayk\u0131r\u0131l\u0131k te\u015fkil etti\u011fi gerek\u00e7esiyle davan\u0131n reddine karar vermi\u015ftir.<\/p>\n<p>Bu de\u011ferlendirmeler, TL\u2019ye d\u00f6n\u00fc\u015fte mutabakat eksikli\u011finin yaln\u0131zca bir \u015fekil sorunu de\u011fil, ayn\u0131 zamanda s\u00f6zle\u015fmenin ilgili k\u0131s\u0131mlar\u0131n\u0131n ge\u00e7erlili\u011fine ili\u015fkin esasa dair bir sorun te\u015fkil etti\u011fini ortaya koymaktad\u0131r.<\/p>\n<p>7. UYGULAMADA D\u00d6V\u0130ZE ENDEKSL\u0130 K\u0130RA S\u00d6ZLE\u015eMELER\u0130NE Y\u00d6NEL\u0130K \u0130HT\u0130LAFLAR VE \u00c7\u00d6Z\u00dcM \u00d6NER\u0130LER\u0130<\/p>\n<p>2018 y\u0131l\u0131ndan \u00f6nce yap\u0131lan d\u00f6vize endeksli s\u00f6zle\u015fmelerde, kirac\u0131 taraf\u0131ndan kiralayana \u00f6demelerin h\u00e2l\u00e2 d\u00f6viz \u00fczerinden yap\u0131lmas\u0131, s\u00f6zle\u015fmenin d\u00f6viz cinsinden devam etti\u011fi anlam\u0131na gelmez. Kabul anlam\u0131 ta\u015f\u0131sa bile i\u015fbu \u00f6demelerin TL\u2019ye \u00e7evrilerek bir hesaplama yap\u0131lmas\u0131 gerekmektedir.<\/p>\n<p>2018 y\u0131l\u0131ndan sonra yeni kira s\u00f6zle\u015fmelerinin d\u00f6vize endeksli olarak yap\u0131lmas\u0131 yasak oldu\u011fundan taraflar aras\u0131nda yap\u0131lan s\u00f6zle\u015fmedeki d\u00f6viz ile ilgili k\u0131s\u0131mlar ge\u00e7ersiz olacakt\u0131r. D\u00f6viz ile yap\u0131lan \u00f6demelerin aksat\u0131lmas\u0131 temerr\u00fct sebebi olu\u015fturmayacak ancak d\u00f6vizin TL\u2019ye \u00e7evrilmesinden sonra eksik \u00f6denen bir bedel tespit edilirse bu kez temerr\u00fct olu\u015facakt\u0131r.<\/p>\n<p>-D\u00f6vizle yap\u0131lan kira s\u00f6zle\u015fmeleri 2018 sonras\u0131 TL\u2019ye \u00e7evrilmek zorundad\u0131r.<br \/>\n-Taraflar mutabakat sa\u011flayamazsa, TCMB kuru ve T\u00dcFE ile hesaplama yap\u0131lmal\u0131d\u0131r.<br \/>\n-D\u00f6vizle yap\u0131lan \u00f6deme bu hesaplaman\u0131n \u00fczerinde kal\u0131yorsa, alacak talebi d\u00fc\u015fecektir.<br \/>\n-Mahkemeler, bu konuda emredici h\u00fck\u00fcmleri re\u2019sen dikkate almak zorundad\u0131r.<\/p>\n<p>8. Bu maddeye g\u00f6re, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin kendi aralar\u0131nda akdettikleri baz\u0131 s\u00f6zle\u015fmelerin bedellerinin d\u00f6viz cinsinden veya d\u00f6vize endeksli olarak belirlenmi\u015f olmas\u0131 halinde taraflarca T\u00fcrk Liras\u0131 olarak yeniden belirlenece\u011fi d\u00fczenlenmi\u015ftir.<\/p>\n<p>S\u00f6z konusu yasaklaman\u0131n kapsam\u0131, Hazine ve Maliye Bakanl\u0131\u011f\u0131 taraf\u0131ndan \u00e7\u0131kar\u0131lan 2008-32\/34 say\u0131l\u0131 Tebli\u011f ile a\u00e7\u0131klanm\u0131\u015ft\u0131r. Tebli\u011f\u2019in 27. maddesine g\u00f6re:<\/p>\n<p>\u201cS\u00f6zle\u015fme bedeli ve bu s\u00f6zle\u015fmelerden kaynaklanan di\u011fer \u00f6deme y\u00fck\u00fcml\u00fcl\u00fckleri d\u00f6viz cinsinden veya d\u00f6vize endeksli olarak kararla\u015ft\u0131r\u0131lmas\u0131 m\u00fcmk\u00fcn olmayan s\u00f6zle\u015fmelerde yer alan bedellerin, taraflar aras\u0131nda T\u00fcrk paras\u0131 olarak yeniden belirlenmesi zorunludur.\u201d<\/p>\n<p>Tebli\u011f\u2019in 28. maddesi ise taraflar aras\u0131nda TL \u00fczerinden mutabakat sa\u011flanamamas\u0131 h\u00e2linde uygulanacak hesaplama y\u00f6ntemini d\u00fczenlemektedir. EMRED\u0130C\u0130 H\u00dcK\u00dcMLER\u0130N SONUCU:<\/p>\n<p>TBK m. 26 \u201cTaraflar bir s\u00f6zle\u015fmenin i\u00e7eri\u011fini kanunda \u00f6ng\u00f6r\u00fclen s\u0131n\u0131rlar i\u00e7inde \u00f6zg\u00fcrce belirleyebilirler.\u201d h\u00fckm\u00fc \u00e7er\u00e7evesinde s\u00f6zle\u015fme serbestisi d\u00fczenlenmi\u015ftir. TBK m. 27\/1\u2019de ise kesin h\u00fck\u00fcms\u00fczl\u00fck ba\u015fl\u0131\u011f\u0131 alt\u0131nda \u201cKanunun emredici h\u00fck\u00fcmlerine, ahlaka, kamu d\u00fczenine, ki\u015filik haklar\u0131na ayk\u0131r\u0131 veya konusu imk\u00e2ns\u0131z olan s\u00f6zle\u015fmeler kesin olarak h\u00fck\u00fcms\u00fczd\u00fcr\u201d d\u00fczenlemesi gere\u011fince s\u00f6zle\u015fme \u00f6zg\u00fcrl\u00fc\u011f\u00fcn\u00fcn hangi ko\u015fullarda k\u0131s\u0131tlanaca\u011f\u0131 d\u00fczenlenmi\u015ftir.<\/p>\n<p>T\u00fcrk paras\u0131n\u0131n k\u0131ymetinin korunmas\u0131 amac\u0131yla y\u00fcr\u00fcrl\u00fc\u011fe konulan mevzuatta 2018 y\u0131l\u0131nda yap\u0131lan de\u011fi\u015fiklik ile d\u00f6viz cinsinden ve d\u00f6vize endeksli kira s\u00f6zle\u015fmesi yapma \u00f6zg\u00fcrl\u00fc\u011f\u00fc k\u0131s\u0131tlanm\u0131\u015f ve ekonomik kamu d\u00fczeninin korunmas\u0131 ama\u00e7lanm\u0131\u015f olup bu durumda d\u00f6viz ve \u00a0d\u00f6vize endeksli olarak yap\u0131lacak kira s\u00f6zle\u015fmeleri kanunun emredici h\u00fck\u00fcmlerine ayk\u0131r\u0131l\u0131k te\u015fkil etti\u011finden s\u00f6zle\u015fmede kiran\u0131n d\u00f6vizle veya d\u00f6vize endeksli olarak belirlenen ilgili \u00a0k\u0131sm\u0131n\u0131n k\u0131smi h\u00fck\u00fcms\u00fcz olmas\u0131 s\u00f6z konusu olacak, s\u00f6zle\u015fmenin d\u00fczenlemeye ayk\u0131r\u0131 olmayan k\u0131s\u0131mlar\u0131 ge\u00e7erlili\u011fini koruyacakt\u0131r. Temel olarak d\u00f6viz ve d\u00f6vize endeksli olarak kira belirlenmi\u015fse s\u00f6z konusu maddeler emredici h\u00fck\u00fcmlere ayk\u0131r\u0131 oldu\u011fu gerek\u00e7esiyle ge\u00e7ersiz say\u0131lacakt\u0131r.<\/p>\n<p>Yasan\u0131n y\u00fcr\u00fcrl\u00fc\u011fe girmesinden \u00f6nce yap\u0131lm\u0131\u015f olan d\u00f6vize endeksli s\u00f6zle\u015fmelerde ise s\u00f6zle\u015fme ge\u00e7erlili\u011fini koruyacakt\u0131r. Yasa tarihine kadar taraflar\u0131n s\u00f6zle\u015fmedeki kar\u015f\u0131l\u0131kl\u0131 edimleri s\u00f6zle\u015fme ko\u015fullar\u0131na g\u00f6re devam edecektir. Y\u00fck\u00fcml\u00fcl\u00fckleri aynen s\u00f6zle\u015fmedeki gibi ifa edilecektir. 2018 tarihinden sonra ise s\u00f6zle\u015fme yine ge\u00e7erlili\u011fini koruyacak fakat sadece \u00f6demelerin d\u00f6vize ili\u015fkin ya da d\u00f6vize endeksli \u00f6deme \u015fekli TL\u2019ye uyarlanacakt\u0131r. Bu madde y\u00f6n\u00fcyle taraflar a\u00e7\u0131s\u0131ndan y\u00fck\u00fcml\u00fcl\u00fck ortadan kalkacak ve sorumluluk devam etmeyecektir. T\u00fcrk Paras\u0131 K\u0131ymetini Koruma Hakk\u0131nda 32 Say\u0131l\u0131 Karar\u2019\u0131n ge\u00e7ici 8. maddesinde, s\u00f6zle\u015fmenin d\u00f6vizle ilgili maddelerinin nas\u0131l uyarlanaca\u011f\u0131 d\u00fczenlenmi\u015ftir.. Bu h\u00fckme g\u00f6re \u201cBu Karar\u0131n 4 \u00fcnc\u00fc maddesinin (g) bendinin y\u00fcr\u00fcrl\u00fc\u011fe girdi\u011fi tarihten itibaren otuz g\u00fcn i\u00e7inde, s\u00f6z konusu bentte belirtilen ve daha \u00f6nce akdedilmi\u015f y\u00fcr\u00fcrl\u00fckteki s\u00f6zle\u015fmelerdeki d\u00f6viz cinsinden kararla\u015ft\u0131r\u0131lm\u0131\u015f bulunan bedeller, Bakanl\u0131k\u00e7a belirlenen haller d\u0131\u015f\u0131nda; T\u00fcrk paras\u0131 olarak taraflarca yeniden belirlenir.\u201d Otuz g\u00fcn i\u00e7inde d\u00f6vizli ve d\u00f6vize endeksli kira s\u00f6zle\u015fmelerinin taraflarca TL\u2019ye uyarlanmas\u0131 gerekti\u011fi belirtilmi\u015ftir.<\/p>\n<p>Taraflar\u0131n 2018\u2019deki d\u00fczenleme sonras\u0131nda d\u00f6viz \u00fczerinden kira \u00f6demesini devam ettirmeleri sonradan y\u00fcr\u00fcrl\u00fc\u011fe giren d\u00fczenlemeler uyar\u0131nca TL \u00fczerinde \u00f6deme yapmalar\u0131 zorunlu olaca\u011f\u0131ndan, \u00f6demelerin d\u00f6viz cinsinden yap\u0131lm\u0131\u015f olmas\u0131 d\u00f6viz ile kira \u00f6deme devaml\u0131l\u0131\u011f\u0131na z\u0131mmi r\u0131za g\u00f6stermi\u015f olduklar\u0131 sonucunu do\u011furmayacakt\u0131r.<\/p>\n<p>\u00d6nceden yap\u0131lan \u00f6demeler, 2018 tarihli T\u00fcrkiye Cumhuriyeti Merkez Bankas\u0131 efektif sat\u0131\u015f kuru ile TL\u2019ye \u00e7evrilecek. Hesaplama, o tarihten itibaren yap\u0131lacak ve TL\u2019ye \u00e7evrilen bedel, T\u00dcFE oran\u0131 ile art\u0131r\u0131larak g\u00fcncel bedel tespit edilecektir.<\/p>\n<p>Kira bedelinin \u00f6denmemesine ili\u015fkin talepten \u00f6deme ihtilaf\u0131n\u0131n \u00e7\u0131kt\u0131\u011f\u0131 tarihe kadar geriye d\u00f6n\u00fck d\u00f6viz baz\u0131nda yap\u0131lan \u00f6demeler TL\u2019ye \u00e7evrilir, hesaplama 2018 tarihinde d\u00f6viz cinsinden olan bedelin TL\u2019ye \u00e7evrilip y\u0131ll\u0131k t\u00fcfe oran\u0131 \u00fczerinden art\u0131\u015fla yap\u0131l\u0131p son talep edilen tarihteki kira oran\u0131yla kar\u015f\u0131la\u015ft\u0131r\u0131l\u0131r. TL\u2019ye \u00e7evrildi\u011fi 2018\u2019den ihtilaf\u0131n \u00e7\u0131kt\u0131\u011f\u0131 tarihe kadarki d\u00f6nemde \u00f6deme fazla yap\u0131lm\u0131\u015fsa bu fazla yap\u0131lan \u00f6deme mahsup edilerek kalan k\u0131s\u0131m hesaplan\u0131r.<\/p>\n<p>4. TARAFLAR ARASI MUTABAKAT YOKSA HESAPLAMA NASIL YAPILIR?<\/p>\n<p>Taraflar\u0131n TL&#8217;ye d\u00f6n\u00fc\u015f konusunda a\u00e7\u0131k bir mutabakata varmamas\u0131 h\u00e2linde s\u00f6zle\u015fmenin ilgili k\u0131sm\u0131 ge\u00e7erli say\u0131lmaz. Bu durumda, mahkemece re\u2019sen bir hesaplama yap\u0131l\u0131r. S\u00f6z konusu hesaplama y\u00f6ntemi \u015fu \u015fekildedir:<\/p>\n<p>1. S\u00f6zle\u015fmede yer alan d\u00f6viz tutar\u0131, 02.01.2018 tarihli TCMB efektif sat\u0131\u015f kuru ile TL\u2019ye \u00e7evrilir.<br \/>\n2. Bu TL bedel, T\u00dc\u0130K taraf\u0131ndan yay\u0131mlanan ayl\u0131k T\u00dcFE oranlar\u0131 ile art\u0131r\u0131larak g\u00fcncellenir.<br \/>\n3. Elde edilen de\u011fer, taraflar aras\u0131nda o d\u00f6nem i\u00e7in uygulanmas\u0131 gereken yasal kira bedeli kabul edilir.<\/p>\n<p>5. Mahkeme bu takibin ge\u00e7ersiz oldu\u011funa h\u00fckmetmi\u015ftir.<br \/>\n&#8211; TL\u2019ye d\u00f6n\u00fc\u015f yap\u0131lmadan devam eden s\u00f6zle\u015fmenin, borcun belirlenmesinde belirsizlik do\u011furdu\u011fu, s\u00f6zle\u015fmenin d\u00f6viz ile ilgili k\u0131s\u0131mlar\u0131n uygulanabilirli\u011fini ortadan kald\u0131rd\u0131\u011f\u0131 ifade edilmi\u015ftir.<br \/>\n&#8211; Mahkeme, alaca\u011f\u0131n d\u00f6viz cinsinden takibinin, emredici h\u00fck\u00fcmlere ayk\u0131r\u0131l\u0131k te\u015fkil etti\u011fi gerek\u00e7esiyle davan\u0131n reddine karar vermi\u015ftir.<\/p>\n<p>Bu de\u011ferlendirmeler, TL\u2019ye d\u00f6n\u00fc\u015fte mutabakat eksikli\u011finin yaln\u0131zca bir \u015fekil sorunu de\u011fil, ayn\u0131 zamanda s\u00f6zle\u015fmenin ilgili k\u0131s\u0131mlar\u0131n\u0131n ge\u00e7erlili\u011fine ili\u015fkin esasa dair bir sorun te\u015fkil etti\u011fini ortaya koymaktad\u0131r.<\/p>\n<p>7. UYGULAMADA D\u00d6V\u0130ZE ENDEKSL\u0130 K\u0130RA S\u00d6ZLE\u015eMELER\u0130NE Y\u00d6NEL\u0130K \u0130HT\u0130LAFLAR VE \u00c7\u00d6Z\u00dcM \u00d6NER\u0130LER\u0130<\/p>\n<p>2018 y\u0131l\u0131ndan \u00f6nce yap\u0131lan d\u00f6vize endeksli s\u00f6zle\u015fmelerde, kirac\u0131 taraf\u0131ndan kiralayana \u00f6demelerin h\u00e2l\u00e2 d\u00f6viz \u00fczerinden yap\u0131lmas\u0131, s\u00f6zle\u015fmenin d\u00f6viz cinsinden devam etti\u011fi anlam\u0131na gelmez. Kabul anlam\u0131 ta\u015f\u0131sa bile i\u015fbu \u00f6demelerin TL\u2019ye \u00e7evrilerek bir hesaplama yap\u0131lmas\u0131 gerekmektedir.<\/p>\n<p>2018 y\u0131l\u0131ndan sonra yeni kira s\u00f6zle\u015fmelerinin d\u00f6vize endeksli olarak yap\u0131lmas\u0131 yasak oldu\u011fundan taraflar aras\u0131nda yap\u0131lan s\u00f6zle\u015fmedeki d\u00f6viz ile ilgili k\u0131s\u0131mlar ge\u00e7ersiz olacakt\u0131r. T\u00fcrk Paras\u0131 K\u0131ymetini Koruma Hakk\u0131nda 32 say\u0131l\u0131 Karar\u2019a dayan\u0131larak \u00e7\u0131kar\u0131lan d\u00fczenlemelerle birlikte, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin kendi aralar\u0131nda d\u00f6vizle veya d\u00f6vize endeksli kira s\u00f6zle\u015fmeleri yapmalar\u0131 s\u0131n\u0131rlanm\u0131\u015f ve istisnalar d\u0131\u015f\u0131ndaki s\u00f6zle\u015fmelerin T\u00fcrk Liras\u0131&#8217;na \u00e7evrilmesi zorunlu hale getirilmi\u015ftir. Bu yaz\u0131m\u0131zda, emredici h\u00fck\u00fcmlerin etkisiyle d\u00f6vizli s\u00f6zle\u015fmelerin ge\u00e7erlilik durumu, TL\u2019ye d\u00f6n\u00fc\u015f\u00fcn nas\u0131l ger\u00e7ekle\u015ftirilece\u011fi ve bu s\u00fcre\u00e7te ortaya \u00e7\u0131kan uyu\u015fmazl\u0131klar\u0131n hesaplama y\u00f6ntemleri ile birlikte yarg\u0131 i\u00e7tihatlar\u0131 do\u011frultusunda nas\u0131l \u00e7\u00f6z\u00fcmlendi\u011fi a\u00e7\u0131klanmaktad\u0131r. 2. 2018 D\u00dcZENLEMELER\u0130N\u0130N MEVZUAT TEMEL\u0130 13 Eyl\u00fcl 2018 tarihli Resm\u00ee Gazete\u2019de yay\u0131mlanan 85 say\u0131l\u0131 Cumhurba\u015fkanl\u0131\u011f\u0131 Karar\u0131 ile T\u00fcrk Paras\u0131 K\u0131ymetini Koruma Hakk\u0131nda 32 say\u0131l\u0131 Karar\u2019a ge\u00e7ici 8. madde eklenmi\u015ftir. Bu maddeye g\u00f6re, T\u00fcrkiye\u2019de yerle\u015fik ki\u015filerin kendi aralar\u0131nda akdettikleri baz\u0131 s\u00f6zle\u015fmelerin bedellerinin d\u00f6viz cinsinden veya d\u00f6vize endeksli olarak belirlenmi\u015f olmas\u0131 halinde taraflarca T\u00fcrk Liras\u0131 olarak yeniden belirlenece\u011fi d\u00fczenlenmi\u015ftir. S\u00f6z konusu yasaklaman\u0131n kapsam\u0131, Hazine ve Maliye Bakanl\u0131\u011f\u0131 taraf\u0131ndan \u00e7\u0131kar\u0131lan 2008-32\/34 say\u0131l\u0131 Tebli\u011f ile a\u00e7\u0131klanm\u0131\u015ft\u0131r.
