Taraflar aras\u0131nda ge\u00e7erli kabul edilen kira s\u00f6zle\u015fmesi 01\/04\/2019 ba\u015flang\u0131\u00e7 tarihli ve 1 y\u0131l s\u00fcreli olup kiralayan\u0131n, 01\/04\/2022 tarihinden itibaren ge\u00e7erli olmak \u00fczere de\u011fi\u015fen, hal ve \u015fartlara g\u00f6re kira bedelinin uyarlanmas\u0131n\u0131 talep etmi\u015f oldu\u011fu g\u00f6r\u00fclmektedir. Uzun s\u00fcreli kira s\u00f6zle\u015fmelerinde edimler aras\u0131ndaki dengenin a\u015f\u0131r\u0131 bozulmas\u0131 ve s\u00f6zle\u015fmenin taraflar a\u00e7\u0131s\u0131ndan \u00e7ekilmez hale gelmesi durumunda kira paras\u0131n\u0131n g\u00fcn\u00fcn ekonomik ko\u015fullar\u0131na uyarlanmas\u0131 i\u00e7in her zaman \u201cuyarlama\u201d davas\u0131 a\u00e7\u0131labilir. Mahkemece yap\u0131lacak i\u015f; az yukar\u0131da a\u00e7\u0131klanan uyarlama davalar\u0131nda uygulanmas\u0131 gereken kurallar, belirtildi\u011fi \u015fekilde tek tek ortaya konularak ve konular\u0131nda uzman \u00fc\u00e7 ki\u015filik bilirki\u015fi kurulundan, t\u00fcm bu veriler, kiralanan\u0131n niteli\u011fi, kullanma alan\u0131, konumu, b\u00f6lgedeki kira paras\u0131n\u0131 da etkileyecek normalin \u00fcst\u00fcndeki imar ve ticaret de\u011fi\u015fiklikleri, emsal kira paralan, vergi ve amortisman giderlerindeki art\u0131\u015flar, d\u00f6viz kurlar\u0131ndaki ani ve a\u015f\u0131r\u0131 ini\u015f ve \u00e7\u0131k\u0131\u015flar ile \u00fclkeyi sarsan ciddi ekonomik kriz veya do\u011fal afetlere ba\u011fl\u0131 \u00f6deme esaslar\u0131n\u0131n yeniden d\u00fczenlenmesini gerektirecek olaylar\u0131n varl\u0131\u011f\u0131 ara\u015ft\u0131r\u0131l\u0131p de\u011ferlendirilmek suretiyle bir rapor al\u0131narak has\u0131l olacak sonuca g\u00f6re karar verilmesi gerekir.<\/p>\n<p>Dairemizde bulunan istinaf ba\u015fvurusunun yap\u0131lan a\u00e7\u0131k incelemesi sonunda,<\/p>\n<p>GERE\u011e\u0130 G\u00d6R\u00dc\u015e\u00dcLD\u00dc D\u00dc\u015e\u00dcN\u00dcLD\u00dc;<\/p>\n<p>\u0130stinaf isteminde usul i\u015flemlerinin tamam oldu\u011fu anla\u015f\u0131ld\u0131ktan sonra ilk derece mahkemesinin dosyas\u0131ndaki b\u00fct\u00fcn belgeler ve dosya hakk\u0131ndaki dairemiz \u00fcyesince d\u00fczenlenen rapor incelendi, istinaf ba\u015fvuru dilek\u00e7esinin ve davan\u0131n esas\u0131 istinaf dilek\u00e7esinde belirtilen sebeplerle s\u0131n\u0131rl\u0131 olarak yap\u0131lan \u00f6n inceleme ve as\u0131l incelemede dosyada dairemizce karar verilmesi i\u00e7in eksiklik bulunmad\u0131\u011f\u0131 anla\u015f\u0131ld\u0131.<\/p>\n<p>\u0130stinaf sebepleri: Davac\u0131 vekili, s\u00fcresinde sundu\u011fu istinaf ba\u015fvuru dilek\u00e7esinde; davan\u0131n kira bedelinin uyarlanmas\u0131 istemine ili\u015fkin olup yasada uyarlama davas\u0131n\u0131n a\u00e7\u0131lma zaman\u0131na ili\u015fkin bir s\u0131n\u0131rlama bulunmad\u0131\u011f\u0131n\u0131, uyarlaman\u0131n ko\u015fullar\u0131n\u0131n olu\u015fup olu\u015fmad\u0131\u011f\u0131 ara\u015ft\u0131r\u0131lmadan karar verilmesinin usul ve yasaya ayk\u0131r\u0131 oldu\u011funu belirterek karar\u0131n kald\u0131r\u0131lmas\u0131na karar verilmesini talep etmi\u015ftir.<\/p>\n<p>DEL\u0130LLER\u0130N DE\u011eERLEND\u0130R\u0130LMES\u0130 VE GEREK\u00c7E:<\/p>\n<p>Yasal dayanak: Hukuk Muhakemeleri Kanunu; daval\u0131 Ey\u00fcpsultan il\u00e7esi G\u00f6kt\u00fcrk Merkez Mahallesi adresinde 01.04.2019 tarihli kira s\u00f6zle\u015fmesine istinaden kirac\u0131 s\u0131fat\u0131 ile ikamet etti\u011fini, 01.04.2022 tarihi itibariyle yeni kira d\u00f6neminin ba\u015flayaca\u011f\u0131n\u0131, m\u00fcvekkili taraf\u0131ndan daval\u0131ya kiralanan ta\u015f\u0131nmaz\u0131n kira ba\u015flang\u0131\u00e7 tarihinde belirlenen 6.500,00 TL kira bedeli y\u0131ll\u0131k yasal art\u0131\u015f oranlar\u0131 ile 2021 y\u0131l\u0131 i\u00e7in ayl\u0131k 8.400,00 TL olarak g\u00fcncellendi\u011fini fakat ta\u015f\u0131nmaz\u0131n bulundu\u011fu site i\u00e7erisindeki emsal ta\u015f\u0131nmazlar\u0131n rayi\u00e7 bedellerinin alt\u0131nda kald\u0131\u011f\u0131n\u0131 belirterek daval\u0131n\u0131n ikamet etti\u011fi ta\u015f\u0131nmaz\u0131n civardaki emsal ta\u015f\u0131nmazlar\u0131n ayl\u0131k kira beledi olan 25.000.00 TL olarak yeniden uyarlanmas\u0131n\u0131 talep etmi\u015ftir.<\/p>\n<p>Daval\u0131 beyan dilek\u00e7esinde; davac\u0131n\u0131n iyiniyetli olmad\u0131\u011f\u0131n\u0131, ta\u015f\u0131nmaz\u0131n kiraland\u0131\u011f\u0131 2019 y\u0131l\u0131ndan be\u015f y\u0131ll\u0131k s\u00fcrenin ge\u00e7medi\u011fini, s\u00f6zle\u015fmede art\u0131\u015f ko\u015fullar\u0131n\u0131n belirlendi\u011fini, asl\u0131nda kendisinin haks\u0131zl\u0131\u011fa u\u011frad\u0131\u011f\u0131n\u0131, davac\u0131 y\u00f6n\u00fcnden \u00e7\u0131kar dengesinin bozulmad\u0131\u011f\u0131n\u0131 belirterek davan\u0131n reddini talep etmi\u015ftir.<\/p>\n<p>\u0130lk derece mahkemesi karar\u0131nda; Y\u00fcksek mahkeme kararlar\u0131 ve taraflar aras\u0131nda imzalanan kira s\u00f6zle\u015fmesi birlikte de\u011ferlendirildi\u011finde; imzalanan s\u00f6zle\u015fmenin 01\/04\/2019 tarihinde ba\u015flad\u0131\u011f\u0131, 1 y\u0131l i\u00e7in kiraland\u0131\u011f\u0131 davan\u0131n 09\/03\/2022 tarihinde a\u00e7\u0131ld\u0131\u011f\u0131, buna g\u00f6re kira s\u00f6zle\u015fmesinin s\u00fcresinin bitti\u011fi dikkate al\u0131nd\u0131\u011f\u0131nda Yarg\u0131tay ve B\u00f6lge Adliye Mahkemeleri i\u00e7tihatlar\u0131 do\u011frultusunda k\u0131sa s\u00fcreli olan i\u015fbu s\u00f6zle\u015fmenin uyarlanmas\u0131n\u0131n m\u00fcmk\u00fcn olmad\u0131\u011f\u0131 kanaatine var\u0131larak davan\u0131n reddine karar vermi\u015ftir.<\/p>\n<p>Dava; kira bedelinin uyarlanmas\u0131na ili\u015fkindir. Taraflar aras\u0131nda 01.04.2019 ba\u015flang\u0131\u00e7 tarihli 1 y\u0131l s\u00fcreli yaz\u0131l\u0131 kira akti bulundu\u011fu, s\u00f6zle\u015fmede ilk kira y\u0131l\u0131 i\u00e7in ayl\u0131k 6.500,00 TL, y\u0131ll\u0131k 78.000,00 TL kira bedelinin \u00f6denece\u011finin belirtildi\u011fi, \u00d6zel \u015fartlar 2. maddesinde \u2018Kira \u00f6demeleri s\u00fcrekli 6 ayl\u0131k \u00f6demeler \u015feklinde ilk y\u0131l i\u00e7in 6\u2019\u015far ayl\u0131k pe\u015fin olarak 39.000,00 TL (Otuz dokuz bin T\u00fcrk Liras\u0131), sonraki y\u0131llar her y\u0131l i\u00e7in hesaplanacak TU\u0130K T\u00dcFE y\u0131ll\u0131k art\u0131\u015f y\u00fczdesinden art\u0131r\u0131larak 6 ayl\u0131k \u00f6demeler \u015feklinde ilgili ay\u0131n 01-15 i aras\u0131 pe\u015fin olarak banka hesab\u0131na yap\u0131lacakt\u0131r.\u2019 \u015feklinde kararla\u015ft\u0131r\u0131ld\u0131\u011f\u0131, dava dilek\u00e7esinde 01.04.2022 tarihinden itibaren ayl\u0131k 25.000.00 TL olarak uyarlanmas\u0131n\u0131n talep edildi\u011fi g\u00f6r\u00fclm\u00fc\u015ft\u00fcr.<\/p>\n<p>04.06.1958 g\u00fcn 15\/6 say\u0131l\u0131 Yarg\u0131tay \u0130\u00e7tihad\u0131 Birle\u015ftirme karar\u0131nda da vurguland\u0131\u011f\u0131 gibi; bir davada dayan\u0131lan maddi vak\u0131alar\u0131 a\u00e7\u0131klamak taraflar\u0131n, bu olgular\u0131 hukuken nitelendirmek, uygulanacak yasa maddelerini aray\u0131p bulmak ve do\u011fru olarak yorumlay\u0131p uygulamak da hakimin g\u00f6revidir. 6100 say\u0131l\u0131 HMK\u2019n\u0131n 33. maddesinde (HUMK 76) de belirtildi\u011fi \u00fczere: hakimin bir davaya uygulanacak hukuku re\u2019sen tespit g\u00f6revi bulunmaktad\u0131r. Di\u011fer bir anlat\u0131mla, maddi vak\u0131alar\u0131 dile getirmek tarafa, hukuki vas\u0131fland\u0131rma ise hakime ait bir g\u00f6revdir. \u00d6te yandan, HMK 31. maddesi uyar\u0131nca \u201cHakim, uyu\u015fmazl\u0131\u011f\u0131n ayd\u0131nlat\u0131lmas\u0131n\u0131n zorunlu k\u0131ld\u0131\u011f\u0131 durumlarda, maddi veya hukuki a\u00e7\u0131dan belirsiz yahut \u00e7eli\u015fkili g\u00f6rd\u00fc\u011f\u00fc hususlar hakk\u0131nda, taraflara a\u00e7\u0131klama yapt\u0131rabilir; soru sorabilir; delil g\u00f6sterilmesini isteyebilir\u201d h\u00fckm\u00fc uyar\u0131nca, davay\u0131 ayd\u0131nlatma g\u00f6revi bulunmaktad\u0131r.<\/p>\n<p>Hukukumuzda s\u00f6zle\u015fmeye ba\u011fl\u0131l\u0131k (Ahde Vefa-PactaSundServanda) ve s\u00f6zle\u015fme serbestli\u011fi ilkeleri kabul edilmi\u015ftir. Bu ilkelere g\u00f6re, s\u00f6zle\u015fme yap\u0131ld\u0131\u011f\u0131 andaki gibi aynen uygulanmal\u0131d\u0131r. E\u015f s\u00f6yleyi\u015fle, s\u00f6zle\u015fme ko\u015fullar\u0131 bor\u00e7lu i\u00e7in sonradan a\u011f\u0131rla\u015fm\u0131\u015f, edimler dengesi sonradan \u00e7\u0131kan olaylar nedeni ile de\u011fi\u015fmi\u015f olsa bile, bor\u00e7lu s\u00f6zle\u015fmedeki edimini aynen ifa etmelidir. S\u00f6zle\u015fmeye ba\u011fl\u0131l\u0131k ilkesi, hukuki g\u00fcvenlik, do\u011fruluk, d\u00fcr\u00fcstl\u00fck kural\u0131n\u0131n bir gere\u011fi olarak s\u00f6zle\u015fme hukukunun temel ilkesini olu\u015fturmaktad\u0131r. Ancak bu ilke \u00f6zel hukukun di\u011fer ilkeleriyle s\u0131n\u0131rland\u0131r\u0131lm\u0131\u015ft\u0131r. T\u00fcrk hukukunda da \u00f6teden beri MK.nun 2 ve 4. maddesinden de esinlenilerek, hem ClausulaRebusSicStantibus ilkesi, hem de \u0130\u015flem Temelinin -\u00c7\u00f6kmesi Kuram\u0131 uygulanmak suretiyle, uyarlama davalar\u0131n\u0131n g\u00f6r\u00fclebilir oldu\u011fu benimsenmi\u015ftir.<\/p>\n<p>Yarg\u0131tay taraf\u0131ndan benimsenen ve s\u00f6zle\u015fmeye ba\u011fl\u0131l\u0131k ilkesinin istinas\u0131n\u0131 olu\u015fturan, uyarlama davas\u0131 6098 Say\u0131l\u0131 TBK\u2019nun yasala\u015ft\u0131r\u0131lmas\u0131 s\u0131ras\u0131nda da benimsenerek, 6098 Say\u0131l\u0131 Yasan\u0131n 138. maddesinde \u201cA\u015f\u0131r\u0131 \u0130fa G\u00fc\u00e7l\u00fc\u011f\u00fc\u201d madde ba\u015fl\u0131\u011f\u0131 alt\u0131nda d\u00fczenlemi\u015f, \u201cS\u00f6zle\u015fmenin yap\u0131ld\u0131\u011f\u0131 s\u0131rada taraflarca \u00f6ng\u00f6r\u00fclmeyen ve \u00f6ng\u00f6r\u00fclmesi de beklenmeyen ola\u011fan\u00fcst\u00fc bir durum, bor\u00e7ludan kaynaklanmayan bir sebeple ortaya \u00e7\u0131kar ve s\u00f6zle\u015fmenin yap\u0131ld\u0131\u011f\u0131 s\u0131rada mevcut olgular\u0131, kendisinden ifan\u0131n istenmesini d\u00fcr\u00fcstl\u00fck kurallar\u0131na ayk\u0131r\u0131 d\u00fc\u015fecek derecede bor\u00e7lu aleyhine de\u011fi\u015ftirir ve bor\u00e7lu da borcunu hen\u00fcz ifa etmemi\u015f veya ifan\u0131n a\u015f\u0131r\u0131 \u00f6l\u00e7\u00fcde g\u00fc\u00e7le\u015fmesinden do\u011fan haklar\u0131n\u0131 sakl\u0131 tutarak ifa etmi\u015f olursa bor\u00e7lu, hakimden s\u00f6zle\u015fmenin yeni ko\u015fullara uyarlanmas\u0131n\u0131 isteme, bu m\u00fcmk\u00fcn olmad\u0131\u011f\u0131 takdirde s\u00f6zle\u015fmeden d\u00f6nme hakk\u0131na sahiptir. S\u00fcrekli edimli s\u00f6zle\u015fmelerde bor\u00e7lu, kural olarak d\u00f6nme hakk\u0131n\u0131n yerine fesih hakk\u0131n\u0131 kullan\u0131r. Bu madde h\u00fckm\u00fc yabanc\u0131 para bor\u00e7lar\u0131nda da uygulan\u0131r.\u201d h\u00fckm\u00fcne yer verilmi\u015ftir. \u0130lgi maddenin gerek\u00e7esinde de \u201cBu yeni d\u00fczenleme, \u00f6\u011freti ve uygulamada s\u00f6zle\u015fmeye ba\u011fl\u0131l\u0131k (ahde vefa) ilkesinin istisnalar\u0131ndan biri olarak kabul edilen, \u201ci\u015flem temelinin \u00e7\u00f6kmesi\u201dne ili\u015fkindir. \u0130mkans\u0131zl\u0131k kavram\u0131ndan farkl\u0131 olan a\u015f\u0131r\u0131 ifa g\u00fc\u00e7l\u00fc\u011f\u00fcne dayanan uyarlama isteminin temeli, T\u00fcrk Medeni Kanununun 2. maddesinde \u00f6ng\u00f6r\u00fclen d\u00fcr\u00fcstl\u00fck kurallar\u0131d\u0131r. Ancak, s\u00f6zle\u015fmenin de\u011fi\u015fen ko\u015fullara uyarlanmas\u0131 ya da d\u00f6nme hakk\u0131n\u0131n kullan\u0131lmas\u0131, \u015fu d\u00f6rt ko\u015fulun birlikte ger\u00e7ekle\u015fmesine ba\u011fl\u0131d\u0131r.<\/p>\n<p>a. S\u00f6zle\u015fmenin yap\u0131ld\u0131\u011f\u0131 s\u0131rada, taraflarca \u00f6ng\u00f6r\u00fclmeyen ve \u00f6ng\u00f6r\u00fclmesi de beklenmeyen ola\u011fan\u00fcst\u00fc bir durum ortaya \u00e7\u0131km\u0131\u015f olmal\u0131d\u0131r.<\/p>\n<p>b. Bu durum bor\u00e7ludan kaynaklanmam\u0131\u015f olmal\u0131d\u0131r.<\/p>\n<p>c. Bu durum, s\u00f6zle\u015fmenin yap\u0131ld\u0131\u011f\u0131 s\u0131rada mevcut olgular\u0131, kendisinden ifan\u0131n istenmesini d\u00fcr\u00fcstl\u00fck kurallar\u0131na ayk\u0131r\u0131 d\u00fc\u015fecek derecede bor\u00e7lu aleyhine de\u011fi\u015ftirmi\u015f olmal\u0131d\u0131r.<\/p>\n<p>d. Bor\u00e7lu, borcunu hen\u00fcz ifa etmemi\u015f veya ifan\u0131n a\u015f\u0131r\u0131 \u00f6l\u00e7\u00fcde g\u00fc\u00e7le\u015fmesinden do\u011fan haklar\u0131n\u0131 sakl\u0131 tutarak ifa etmi\u015f olmal\u0131d\u0131r.<\/p>\n<p>Maddeye g\u00f6re, uyarlaman\u0131n b\u00fct\u00fcn ko\u015fullar\u0131 ger\u00e7ekle\u015fmi\u015fse bor\u00e7lu, hakimden s\u00f6zle\u015fmenin yeni ko\u015fullara uyarlanmas\u0131n\u0131 isteyebilir.
